Katy Amateur Radio Society Constitution
ARTICLE I Name of the Organization
The name of the Organization is the Katy Amateur Radio Society (KARS).
ARTICLE II Purpose of the Organization
It shall be the purpose of the KARS to provide communication in the public interest, to further the exchange of information and cooperation between members, to promote radio knowledge, fraternalism, individual operating efficiency and expertise and to so conduct club programs and activities as to advance the general interest and welfare of amateur radio within the community.
ARTICLE III Membership Requirements
All persons interested in Amateur Radio Communications shall be eligible for membership. Membership has various classes as defined in the By-Laws. Membership shall be by an application process defined in the By Laws
Meetings shall be held at a time and place specified by the Board of Directors in accordance with the By Laws.
Robert’s Rules of Order shall govern all club meetings and proceedings.
ARTICLE V Officers of the Organization
The officers of the club, which comprise the Board of Directors shall be:
President
Vice President
Secretary
Treasurer
Activities Coordinator
All Officers of the club are required to hold a valid FCC Amateur Radio License. Should any officer have their license revoked or it expires then that officer shall immediately cease to be an officer of the club.
In general the Officers should endeavor to make the reputation of the KATY AMATEUR RADIO SOCIETY and amateur radio activities in the community as outstanding and impeccable as possible. In addition they will turn over all items belonging to the club to the elected successor at the expiration of their term.
(i) The Roles of the President
Preside at all meetings of this club, and conduct the same according to the rules adopted,
Enforce due observance of the Constitution and By-Laws.
Decide all questions of order.
Sign all official documents that are adopted by the club, and none other.
Send notices to members via email and website postings.
(ii) The Roles of the Vice President
Deputize in the absence of the President.
Responsible for coordinating programs for club meetings.
(iii) The Roles of the Secretary
Keep a record of the proceedings of all meetings.
Keep a roll of members.
Manage the new member process.
Carry on all correspondence and read communications at each meeting.
(iv) The Roles of the Treasurer
Receive and receipt for all moneys paid to the club.
Keep an accurate account of all moneys received and expended.
Submit to the board an itemized statement of disbursements and receipts at the end of each calendar quarter.
Pay bills after first getting proper authorization of the President and one other member of the board.
(V) The Roles of the Activities Coordinator
Organize club member activities.
Plan and recommend contests for operating benefit.
Advance club interest and activity as approved by the club.
Encourage new stations in reporting activities to the club newsletter and to the elected Section Communications Manager of the ARRL.
At their sole discretion appoint committees or assistants to aid in specific branches of activity however these committees or assistants will have no standing in the normal procedures of the club.
ARTICLE VI Election and Removal of Officers
(i) Length of term
The officers of this club shall be elected for a term of two (2) years with provision for another one (1) year following re-election as described in the By Laws
(ii) Election procedures
The election and removal procedure for officers of the club is described in the bylaws.
(i) Financial Liability
The Officers, Directors and Members of the club shall not be liable for any KARS debts.
(ii) Dues and Assessments
The club, by majority vote of a quorum at any regular meeting, may levy upon the general membership such dues or assessments as shall be deemed necessary for the business and livelihood of the organization within its objectives as set forth in the preamble. Non-payment of such dues or assessments shall be cause for expulsion from the club.
ARTICLE VIII – Amendments to Constitution and By-Laws
- This Constitution may be amended by a majority vote at the Annual General Meeting by the club’s voting membership. Members may delegate their vote to the president by email 24hours before the meeting
Proposals for amendments outside the AGM shall be submitted in writing, email, or as motions at a regular club meeting. Voting on the proposed amendments shall follow at the next regular club meeting. An email listing the proposed amendment(s) including the date and time of the next regular meeting must be submitted to voting members no later than fourteen (14) days prior to the next regular club meeting. Voting can also be delegated to the president in the case of members not able to be present
(iii) In times of an official government declared national, state or local emergencies (Hurricane, flood, pandemic or other force majeur) the board can make any changes required to ensure the integrity of the club, its assets and finances.
This Constitution of the Katy Amateur Radio Society becomes effective 12th March 2024 and therefore renders all previous documents of the same null and void.
